22 Çelebi Ground Handling 2025 Annual Report - Regarding the machinery and equipment investments planned by our Company for the airports in Türkiye, our applications for incentive certificates, totaling TL 3,816,995,268, have been approved by TR Ministry of Industry and Technology General Directorate of Incentive Implementation and Foreign Capital. Investment Incentive Certificates have been issued in order to enable our Company to benefit from investment incentive practices as per the relevant legislation provisions. The total expenditure made until 31 December 2025 within the scope of the incentive certificates in question is TL 1,102,003,802. 8. DIRECT OR INDIRECT ASSOCIATES OF THE COMPANY AND INFORMATION ON SHAREHOLDING THEREIN The fields of activity, geographical regions of operation, and countries of incorporation of the Group’s subsidiaries, joint venture, and associate are presented below. Celebi Cargo, the subsidiary of Çelebi Kargo with a 100% ownership, located in Frankfurt, Germany and which was established with a paid-in capital of EUR 11,140,000, carries out flight cargo storage and handling services at International Frankfurt Airport Cargo. In 2006, the Company has acquired the shares of Celebi Ground Handling Hungary (“CGHH”), which has been providing ground handling service at Budapest Airport. The paid in capital of CGHH is HUF 200,000,000, while the Company holds 100% of the shares. The Company acquired a 65% stake in Celebi Tanzania, a company domiciled in Dar es Salaam, Tanzania, with a total capital of 100,000,000 Tanzanian Shillings (approximately USD 40 thousand), in order to participate in ground handling concession tenders to be opened at airports in Tanzania. On 27 March 2024, 99.00% of the shares of PTN, a company domiciled in Jakarta, Indonesia, were acquired through the execution of a Share Purchase Agreement for a consideration of 34,650,000,000 Indonesian Rupiah. As of 31 December 2025, the Company’s capital amounted to 138,300,000,000 Indonesian Rupiah. CAI, a company domiciled in Jakarta, Indonesia, was established on 02 May 2024, as a 99.00%-owned subsidiary of ÇHS, with an initial capital contribution of 9,900,000,000 Indonesian Rupiah. As of 31 December 2025, the Company’s capital amounted to 166,880,000,000 Indonesian Rupiah. (*) The security clearances required for Çelebi Hava Servisi A.Ş. to conduct its ground handling and warehouse air cargo operations in India through its subsidiaries were revoked by the Bureau of Civil Aviation Security (BCAS) on 15 May 2025. (**) Çelebi Cargo Storage and Distribution Services Inc. (“Çelebi Cargo”), a 99.97%-owned subsidiary of Çelebi Hava Servisi A.Ş., through its Germany-based subsidiary Çelebi Cargo GmbH located in Frankfurt, acquired all shares held by the principal shareholder of Transglobal Cargo Centre Ltd. (“TCC”), a company domiciled in Nairobi, the capital of the Republic of Kenya, providing ground handling, air cargo, and warehouse services at Jomo Kenyatta International Airport, on 23 December 2025, for a consideration of USD 40.1 million (EUR 34.5 million), in line with the Company’s international growth strategies and to enhance synergy among group companies.
