21 Çelebi Ground Handling 2025 Annual Report The new cargo warehouse located at Kualanamu International Airport in Indonesia commenced operations on October 5, 2025, and handled 13,789 tons of cargo during the October–December 2025 period. Operational Results Prior to the Suspension of India Operations (January–December 2025) The security clearances required for Çelebi Ground Handling to conduct its ground handling and warehouse air cargo operations in India through its subsidiaries were revoked by the Bureau of Civil Aviation Security (BCAS) on May 15, 2025, based on unjust and unfounded allegations. Consequently, the operations of the relevant subsidiaries were terminated following the unilateral termination of concession agreements by the airport authorities due to the cancellation of the security clearances. Evaluations regarding the performance of the India operations for the January-December 2025 period are presented below, limited to the results achieved prior to the suspension of operations. Our subsidiary, Çelebi Airport Services India Private Limited (formerly known as Çelebi Ground Handling Delhi Private Limited), which started to provide services at the Indira Gandhi International Airport in Delhi, India from June 2010, served 32,642 flights at the Delhi, Ahmedabad, Kochin, Bangalore, Goa and Hyderabad stations in the January-December 2024 period. In the January-December 2025 period, before the suspension of operations, the company served 11,412 flights, registering a 65.0% decrease. Our Celebi Delhi Cargo Terminal Management India Pvt. Ltd. subsidiary has been providing cargo warehousing and handling services in 77,000 m 2 of space at Delhi International Indira Gandhi Airport since November 2009. While the company had handled 507,420 tons in the January-December 2025 period, during the January-December 2025 period, prior to the termination of operations, 178,940 tons of cargo were handled, representing a decrease of 64.7%. Celebi NAS, another subsidiary that began services at Chhatrapati Shivaji International Airport in Mumbai (Bombay) in July 2009, serviced 32,890 flights during January-December 2024 period. In the January-December 2025 period, 10,858 flights have been served with a decrease of 67.0% year-on-year, prior to the suspension of operations. Financial Results The Group’s consolidated gross profit in January-December 2025 period was up by 43.05% to TL 6,278,133,304 (2024: TL 4,388,908,949). In January-December 2025 period, the Company posted an operating profit of TL 4,189,070,162 (2024: TL 3,080,144,907). The Group’s profit after tax in the same period was recorded as TL 3,637,202,794 (2024 January-December: TL 3,566,410,436). As of 31 December 2025, the total amount set aside for legal and compensation provisions of our Company was TL 48,803,595 (31 December 2024: TL 40,505,412). There was no legal action or demands for compensation against the Company during the period which would significantly affect the Company’s financial status or activities. 7. DEVELOPMENTS IN INVESTMENTS; INVESTMENT INCENTIVES USED Tangible fixed asset investments realized by the Group during the year ended on 31 December 2025 amounted to TL 2,529,068,919 (31 December 2024: TL 1,308,076,131). 10.3% of these investments consisted of investments in machinery, equipment and appliances, 81.1% of investments in progress, 3.7% in special costs, 4.1% in investments in fixtures and 0.9% in investments in vehicles. Total consolidated investment outlays of the Group in tangible and intangible assets as of 31 December 2025 were worth TL 2,607,249,898 (2024: TL 1,398,869,607). The total incentive investment amount as of 31 December 2025, excluding additional costs, is TL 1,349,909,333. The current classification according to incentive certificate type is as follows: - Our Company holds a Large-Scale Investment Incentive Certificate issued by the Incentive Implementation and Foreign Investment Directorate General of the Republic of Türkiye Ministry of Economy in relation to its investments in buildings, facilities, machinery, and equipment at İstanbul Airport. Within the scope of the said incentive certificate, the total amount of investments made until 31 December 2025 reached TL 247,905,531.
