TÜBİTAK-İGA Partnership Climate Change Adaptation Action Plan Project, Sustainability Initiatives, Airport Carbon Accreditation (ACA) Program Active participation was provided as a stakeholder in the project carried out by İGA in cooperation with TÜBİTAK regarding the preparation of the Istanbul Airport Climate Change Adaptation Action Plan. Participation was also provided as a stakeholder in the İGA Sustainability Summit and the related working group established thereunder. In addition, stakeholder participation has been maintained in the Airport Carbon Accreditation (ACA) program conducted by Airports Council International (ACI), in which İGA is involved, and the relevant data are being shared accordingly. Türkiye Sustainable Aviation Platform (TSAA) Ensuring inter-institutional cooperation on sustainability within the aviation sector Active participation is maintained in the platform’s activities through membership in the platform. DHMİ Climate Change Adaptation Action Plan Project, Airport Carbon Accreditation (ACA) Program Active stakeholder participation was provided in the “Climate Change Adaptation Action Plan at Airports” project conducted by DHMİ in cooperation with TÜBİTAK. Stakeholder participation has also been maintained in the airports included in the Airport Carbon Accreditation (ACA) program carried out by Airports Council International (ACI), of which DHMİ is a member, and the relevant data have been shared accordingly. We do not have any lawsuits filed and/or concluded against our Company regarding Environmental, Social, Governance (ESG) issues, which are important in terms of our ESG policies and/or will significantly affect our activities. 18. EVENTS AFTER THE FINANCIAL STATEMENT DATE On 06 February 2026, an application was submitted to the Capital Markets Board of Türkiye (CMB) regarding the merger of Çelebi Kargo Depolama ve Dağıtım Hizmetleri A.Ş., a wholly owned subsidiary of the Company, into the Company through a simplified merger procedure by way of acquisition. On 24 February 2026, it was resolved to participate in the capital increase of PT Celebi Aviation Indonesia (“CAI”), an airport ground handling services company based in Jakarta, Indonesia, with a paid-in capital of IDR 166,880,000,000, of which the Company holds 99% ownership. Accordingly, the capital of CAI will be increased to IDR 231,880,000,000, and within this framework, a capital contribution of IDR 64,350,000,000 (approximately USD 3.8 million) will be made in line with the Company’s 99% shareholding ratio. 19. PROFIT DISTRIBUTION PROPOSAL OF THE BOARD OF DIRECTORS Our financial statements prepared on the basis of our legal books of account dated 31 December 2025 show a net current profit in the amount of TL 2,405,065,194.09 remaining after the deduction of all taxes and other legal obligations. As there is no Prior Year’s Loss available to be deducted from the Net Period Profit, the Net Distributable Profit amount that should be considered for profit distribution in accordance with our Company’s legal records is TL 2,405,065,194.09.
